By accessing or using any SoftTrade product, service, or website (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms of Use ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, please discontinue use of our Services immediately.

SoftTrade Infotech Pvt. Ltd. ("SoftTrade", "we", "us", or "our") provides business management software including Mandi ERP, ChalChitra ERP, and related modules for inventory, billing, GST compliance, and business analytics, primarily serving Indian SMEs in trading, manufacturing, and distribution sectors.

We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice. We will not be liable to you or any third party for any modification or discontinuation of the Services.

Subject to your compliance with these Terms and payment of applicable fees, SoftTrade grants you a limited, non-exclusive, non-transferable, revocable licence to use the Software solely for your internal business operations.

All rights not expressly granted to you are reserved by SoftTrade.

You are responsible for maintaining the confidentiality of your login credentials. SoftTrade will not be liable for any loss arising from unauthorised use of your account.

Certain Services are offered on a paid subscription or one-time licence basis. All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes including GST, unless stated otherwise.

Payment terms are as agreed at the time of purchase. Invoices are raised as per the agreed billing cycle. Failure to pay on time may result in suspension or termination of Services.

All fees paid are non-refundable except as required by applicable law or as expressly stated in a separate written agreement with SoftTrade.

The Software, all associated documentation, and all content on our website are the exclusive property of SoftTrade Infotech Pvt. Ltd. and are protected under Indian copyright, trademark, and other intellectual property laws.

"SoftTrade", "Mandi ERP", "ChalChitra ERP", and associated logos are trademarks of SoftTrade Infotech Pvt. Ltd. You may not use our trademarks without prior written consent.

Any feedback, suggestions, or ideas you provide regarding our Services may be used by SoftTrade without any obligation or compensation to you.

You retain ownership of all business data you input into SoftTrade products ("Customer Data"). By using the Services, you grant SoftTrade a limited right to process your Customer Data solely to provide and improve the Services.

We will handle your Customer Data in accordance with our Privacy Policy. We implement industry-standard technical and organisational measures to protect your data.

Upon termination of your subscription, we will provide you a reasonable opportunity to export your data. After the export window, we may delete your data from our systems.

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

SoftTrade does not warrant that the Services will be uninterrupted, error-free, or that defects will be corrected. We make no warranties regarding the accuracy or completeness of information provided through the Services.

To the maximum extent permitted by applicable law, SoftTrade's total cumulative liability arising from or relating to these Terms or the Services shall not exceed the total fees paid by you to SoftTrade in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall SoftTrade be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure the breach within 30 days of written notice.

SoftTrade may suspend or terminate your access immediately if you violate these Terms, fail to pay fees, or engage in conduct harmful to SoftTrade or other users.

Upon termination, all licences granted to you will immediately cease, and you must stop using the Services.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India.

We encourage you to contact us first to resolve any disputes informally. If a dispute cannot be resolved amicably within 30 days, either party may pursue formal legal remedies.

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on our website at least 15 days before the changes take effect.

Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
